1. Agreement to Terms

By accessing or using ChatUTM's website and services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you do not have permission to access our Services.

2. Use of Services

2.1 Eligibility and Geographic Restrictions

  • You must be at least 18 years old or the age of majority in your province or state to use our Services
  • The Services are only available to users located in the United States and Canada
  • By accessing or using our Services, you represent and warrant that:
    • You meet the age requirement
    • You are physically located in the United States or Canada
    • You are not accessing the Services from a prohibited or restricted jurisdiction
  • We reserve the right to restrict or terminate access from any location at our discretion
  • Use of VPNs or other methods to circumvent geographic restrictions is prohibited

2.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You may not use another user's account without permission
  • You must provide accurate and current information during registration

2.3 Prohibited Uses - General

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Upload or transmit viruses, malware, or any destructive code
  • Attempt to gain unauthorized access to any portion of the Services
  • Interfere with or disrupt the Services or servers
  • Violate any applicable local, provincial, state, national, or international law
  • Infringe upon intellectual property rights of ChatUTM or third parties
  • Harass, abuse, or harm other users
  • Collect or harvest user data without permission
  • Use the Services for spam or unsolicited communications
  • Access the Services from outside the United States or Canada
  • Use VPNs, proxies, or other methods to mask your true location

2.4 Prohibited Uses - AI Chatbot Specific

When using our AI chatbot services, you additionally agree not to:

  • Attempt to "jailbreak," manipulate, or circumvent the chatbot's safety measures
  • Use the chatbot to generate illegal, harmful, violent, or hateful content
  • Input personal data of third parties without their explicit consent
  • Attempt to extract training data, model weights, or reverse-engineer the AI system
  • Use automated scripts, bots, or other non-human methods to access the chatbot
  • Input copyrighted content with the expectation that the chatbot will reproduce it
  • Request or attempt to obtain medical diagnoses, legal advice, or financial recommendations
  • Use chatbot outputs for illegal activities or to harm others
  • Create content that sexualizes minors or contains adult/sexual content
  • Impersonate others or engage in fraudulent activities
  • Attempt to make the chatbot produce responses that violate these Terms
  • Use the chatbot for competitive analysis or to build competing products
  • Submit queries designed to test, probe, or identify vulnerabilities in the system
  • Share, resell, or redistribute chatbot access or outputs commercially without authorization

3. AI Chatbot Services

3.1 Nature of AI Services

If you use our AI chatbot services, you acknowledge that:

  • The chatbot provides informational responses only and cannot make binding decisions or legal offers
  • Chatbot responses are automatically generated and may not always be accurate, complete, or current
  • The chatbot cannot enter into contracts, make commitments, or provide professional advice
  • Any information provided by the chatbot should be independently verified before making decisions

3.2 No Professional Advice

The chatbot does not provide legal, financial, medical, or other professional advice. Always consult qualified professionals for such matters.

3.3 Limitations and Accuracy

  • Chatbot responses are based on available training data and may contain errors
  • We do not guarantee the accuracy, reliability, or completeness of chatbot responses
  • The chatbot may misunderstand queries or provide irrelevant responses
  • Users should not rely solely on chatbot responses for important decisions

4. Intellectual Property Rights

4.1 ChatUTM Property

The Services and all content, features, and functionality are owned by ChatUTM and are protected by Canadian, United States, and international copyright, trademark, and other intellectual property laws.

4.2 User Content

You retain ownership of any content you submit to our Services. By submitting content, you grant ChatUTM a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating and providing the Services.

5. Privacy

Your use of our Services is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

6. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

7. Disclaimers

7.1 As-Is Basis

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.

7.2 No Warranty

ChatUTM does not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from use of the Services will be accurate or reliable
  • Any errors in the Services will be corrected

8. Limitation of Liability

To the maximum extent permitted by applicable law, ChatUTM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of the Services.

9. Indemnification

You agree to defend, indemnify, and hold harmless ChatUTM and its affiliates, employees, contractors, agents, officers and directors from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services or violation of these Terms.

10. Governing Law and Jurisdiction

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

10.2 Jurisdiction

Any legal action or proceeding shall be brought exclusively in the courts of British Columbia.

10.3 Geographic Restrictions

The Services are operated from Canada and intended solely for users located in the United States and Canada. We make no representations that the Services are appropriate or available for use in other locations. Access to the Services from jurisdictions where such access is illegal or restricted is prohibited.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
